Welcome to UNQA Agency. These Terms of Service (“Terms”) govern your use of our website (unqa.agency) and the consulting, design, development, and marketing services (“Services”) provided by UNQA Agency (“we,” “us,” or “our”).

By engaging our Services, paying an invoice, or participating in our consulting sprints, you (“the Client”) agree to be bound by these Terms.

We believe in “Syntropy”—if you grow, we grow. These terms are designed to protect both our time and your investment, ensuring a frictionless partnership.


1. The Partnership Model & Services

We deliver our Services in three distinct phases. Each phase requires mutual agreement to proceed:

  • Phase 1: The System Blueprint. A fixed-term, 14-day strategic consulting sprint.
  • Phase 2: The Infrastructure Build. Project-based development and design.
  • Phase 3: The Growth Loop. Ongoing retainers for SEO, campaigns, and system management.

We are your partners, not your employees. We retain the right to determine the methods, tools, and schedule necessary to execute the agreed-upon Statement of Work (SoW).

2. Financial Terms & Payments

  • Consulting Sprints (Phase 1): Payment for The System Blueprint is strictly required upfront to secure your spot on our calendar. Because this involves the immediate reservation of our time and the delivery of proprietary strategic insights, this payment is non-refundable.
  • Project Builds (Phase 2): Development projects require a deposit (typically 50%) before ground is broken, with the remaining balance tied to specific milestones outlined in your custom SoW.
  • Retainers (Phase 3): Growth retainers are billed monthly in advance.
  • Late Payments: Invoices are due upon receipt unless otherwise stated. We reserve the right to pause all work, including website hosting and active campaigns, if accounts are past due by more than 7 days.

3. Client Responsibilities

Our systems require your input to succeed. To keep projects on timeline, the Client agrees to:

  • Provide requested business information, technical access (logins, domains), and feedback in a timely manner.
  • Ensure that any assets, text, or images you provide do not infringe on the intellectual property of third parties.
  • Keep scheduled kickoff and calibration meetings, or provide at least 24 hours notice for rescheduling.

Note: If a project stalls for more than 14 days due to a lack of Client feedback or provided assets, UNQA Agency reserves the right to archive the project and assess a restart fee to re-allocate development resources.

4. Revisions & Scope of Work

We operate on absolute clarity. The scope of your project will be meticulously defined in your System Blueprint or individual SoW.

  • Any requests outside of the agreed-upon SoW are considered “Scope Creep.”
  • We will never surprise you with a bill. If you request a feature or service outside the original scope, we will provide a separate estimate and require your written approval before proceeding.

5. Intellectual Property & Ownership

  • Pre-existing IP: We retain all rights to our pre-existing frameworks, code libraries, themes, and proprietary processes used to build your project.
  • Final Deliverables: Upon complete and final payment of all invoices, the Client assumes full ownership of the final deliverables (the website, the copy, the visual assets, and the Blueprint strategy).
  • Portfolio Rights: Unless bound by a separate Non-Disclosure Agreement (NDA), we reserve the right to showcase the completed work in our portfolio, case studies, and marketing materials.

6. Warranties & Limitation of Liability

  • Our Promise: We guarantee our process, our craftsmanship, and our dedication to your project. We build systems to industry-best standards.
  • The Reality of Digital Growth: We cannot guarantee specific financial results, rankings on search engines, or exact lead volumes, as these depend heavily on market variables, platform algorithms, and your own product/service quality.
  • Liability: To the maximum extent permitted by law, UNQA Agency shall not be liable for any indirect, incidental, or consequential damages, including lost profits or lost data, arising from the use of our Services. Our total liability in any matter shall not exceed the total amount paid by the Client for the specific phase of work in dispute.

7. Termination of Services

Either party may terminate the partnership at any time with written notice.

  • If the Client terminates a Phase 2 or Phase 3 project prior to completion, the Client shall be invoiced for all work completed up to the date of cancellation based on our standard hourly rates, or the milestone schedule, whichever is applicable.
  • We reserve the right to terminate the relationship if communication becomes hostile, or if the Client repeatedly breaches these terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the local jurisdiction of UNQA Agency’s registration.
